In short:
- This is not an issue, and the AGM will proceed as scheduled.
The Secretary stated the expiry of the interim agreement has no material impact on the validity or conduct of the AGM. All decisions regarding the interim arrangement were made with professional advice, and no subject matter experts had raised any concern. He acknowledged the question was reasonable but maintained the committee’s position is that there is no issue and noted the questioner had already raised this in writing, and the response would remain the same.
BC Systems have confirmed they are content to continue providing services through to the AGM. That is a commercial matter for them, and one they are entirely comfortable with.
It is also worth understanding what BC Systems actually does on behalf of the scheme: they provide administrative services. All decisions of consequence – financial, operational, or otherwise – are made by the committee or the body corporate itself. The status of the administrative services arrangement has no bearing on the validity of those decisions, or on the conduct or validity of the AGM.
We have obtained appropriate advice on this point and are satisfied there is nothing further to address.
